Welcome to C-Ride Ltd

These Terms of Use (“Terms”) govern your use of the C-Ride website, mobile application, products, content, facilities and platform (collectively known as the “Platform”). www.c-ride.co is the proprietary website/application of C-Ride Limited (“C-Ride”, “we”, “us”, “our”).

By accessing this Platform, you (“User”, “you”, “your”) confirm that you accept these Terms of Use and that you agree to be bound by them. If you do not accept these Terms, please do not access this Platform or use the services. These Terms of Use apply to all Users of the Platform, including guest Users.

1. Services

1. C-Ride Limited operates an online marketplace that connects Users, restaurants and other businesses (“Vendors”) and independent third-party contractors who provide delivery services (“Contractors”). C-Ride’s platform allows Users to place orders or pick up food and other goods from Vendors and/or request services from Vendors. If a delivery order is made, C-Ride uses the Platform to notify Contractors that a delivery opportunity is available, and the Platform facilitates the completion of delivery to the Users.
2. The Platform contains a variety of restaurants and other businesses. You can choose to order your preferred meal and goods and have them picked up and delivered to you.
3. C-Ride is not a restaurant, grocer or food preparation business and is not affiliated with, and has no form of partnership with, these Vendors. We have no control over and do not guarantee the existence, quality and safety of foods and other goods on our Platform. We do not guarantee the truth or accuracy of Vendors’ offers and the ability to produce the food or goods advertised on the Platform. We do not give any undertaking that meals and other goods ordered through the Platform will be of satisfactory quality, and this and any other such warranties (whether express or implied) are disclaimed by us to the full extent permitted by law.
4. C-Ride is not a part or subsidiary of any Vendor listed on the Platform.

2. Accessing Our Platform and Services

1. We do not guarantee that our Platform or any of our services will always be available, uninterrupted or fault-free. The Platform may be unavailable from time to time for maintenance, updates, technical issues or other reasons. We will not be liable to any User of the Platform if for any reason the Platform is unavailable at any time or for any period.
2. We do not guarantee that the Platform or any content on it will be free from errors, omissions or inaccuracies.
3. Users are responsible for making all necessary arrangements to access our Platform and for ensuring that all persons accessing our Platform using your User profile are aware of these Terms of Use and other applicable policies and comply with them.
4. The Platform may contain links to third-party websites, advertisements, services, offers, or other events or activities that are not provided by C-Ride Limited. You use them at your own risk.

3. Changes to These Terms or the Platform

1. We may make changes to these Terms or the Platform from time to time. When we update the Terms, we will post their latest version in our app and on our website. Please check from time to time to take notice of any changes we make. If you would like to keep using the Platform after we introduce changes to the Terms or the Platform, you will need to agree to the changes by continuing to use our Platform. If you do not agree to such changes, you will have to stop using the Platform.
2. You understand that a breach of any of these Terms and changes made to these Terms or the Platform may result in your right to use the services on the Platform being restricted, suspended or withdrawn.

4. Account Registration

1. To access the functionality of the Platform, you must create an account with us. To register, you must be 18 years or older and able to form legally binding contracts under applicable laws. You represent that you are at least 18 years old and that all registration information you submit is accurate, truthful and up-to-date.
2. To create an account, you must provide your full name, email address and telephone number. On the same page, you have the option to consent to receiving marketing materials from C-Ride. You then agree to our Terms of Use and Privacy Policy and sign up for our service. A one-time password will be provided to Users upon signing up.
3. We offer different types of accounts depending on whether you use the Platform as a User or as a Contractor. To create a Contractor account, you must provide us with additional information and pass verification checks.
4. You are solely responsible for keeping your login details confidential and must not disclose or share them with anyone. You will be solely responsible for all activities and orders that take place using your login information, even if not authorised by you. In the event of theft, loss or unauthorised use of a User’s password or account, you must contact us immediately at ServiceResolution@c-ride.co.
5. Once you create an account, you will be able to select Vendors of your choice, place an order, and a Contractor will get them delivered to your registered address.
6. If we reasonably suspect or believe that your account or the Platform has been, or is likely to be, subject to a security breach or misuse, we reserve the right to require you to change your password. Failure to do so may result in us suspending or terminating your account.
7. As a User, you:
   1. represent and undertake that all account information provided is accurate, honest, up-to-date and not misleading;
   2. commit to updating your account information as and when it changes; and
   3. accept sole responsibility for any direct or indirect adverse consequences caused by the inaccuracy of this information or failure to update this information.
8. The information submitted to create or update an account constitutes proof of your identity. We reserve the right to verify, at any time, the accuracy of the information provided and to ask you for any additional documentation for the purpose of identity verification.
9. You may decide at any time to terminate or delete your account, in which case your details will be deleted from the Platform, subject to our Privacy Policy.
10. Accounts that have been inactive for over 3 years may be deleted.

5. Payment

1. All payments made on the Platform are processed by a third-party payment processor, which provides a gateway for online payments.
2. For Users to successfully make an order, payment for orders can be made in the following ways:
   1. through a debit card;
   2. through bank transfers;
   3. through any of the wallets provided on the Platform; or
   4. through any other payment methods/channels our payment service partners may provide from time to time.
3. The payment processor is solely responsible for all payment transactions made through the Platform.
4. The delivery fee will be displayed at the checkout page.
5. The total price is stated at the checkout page and is due for payment when the order is placed.
6. In the event of any price change for whatever reason, you will receive a notification on the Platform informing you about the relevant change. You will be required to accept the updated price before proceeding with the order.
7. By creating an account, you agree to be bound by these terms of payment.

6. User Content

1. C-Ride may provide you with interactive features on the Platform, including the ability to post User ratings and reviews (collectively, “User Content”). You represent and undertake that you are the owner of, or otherwise have the right to provide, all User Content that you submit, post and/or otherwise transmit through the Platform.
2. You represent and undertake that any User Content you submit, post or otherwise transmit through the Platform does not violate any third-party right, including any copyright, trademark, patent, trade secret, privacy right, or any other intellectual property or proprietary right.
3. You represent and undertake that any User Content you submit, post or otherwise transmit through the Platform does not contain material that is false, intentionally misleading, or defamatory.
4. You represent and undertake that any User Content you submit, post or otherwise transmit through the Platform does not contain material that is unlawful.
5. You hereby grant C-Ride a perpetual, irrevocable, transferable, fully-paid, royalty-free, non-exclusive right to use, copy, display, publish, remove, modify, publicly perform, translate, create derivative works from, distribute and/or otherwise use the User Content in connection with C-Ride’s business and in all forms now known or hereafter invented, without notification to and/or approval by you.
6. You agree that this right includes the right for other users to access and use your User Content in conjunction with participation in the Platform and as permitted through the functionality of the Platform.
7. In the interest of clarity, the right granted to C-Ride herein shall survive termination of the Platform or your account.
8. C-Ride reserves the right to remove or disable access to any User Content from the Platform, suspend or terminate your account at any time, or pursue any other remedy or relief available under the law if you post any User Content that violates these Terms of Use or any community or content guidelines we may publish, or that we consider to be objectionable for any reason.
9. You agree that C-Ride may monitor and/or delete your User Content for any reason in C-Ride’s sole discretion.
10. C-Ride may also access, read, preserve and disclose any information as C-Ride reasonably believes is necessary to:
    1. satisfy any applicable law, regulation, legal process or government request;
    2. enforce these Terms of Use, including investigation of potential violations hereof;
    3. respond to user support requests; or
    4. protect the rights, property or safety of C-Ride, its users and the public.
11. You agree that any submission of ideas, suggestions, feedback and/or proposals to C-Ride through the Platform is at your own risk, and that C-Ride has no obligations (including, without limitation, obligations of confidentiality) with respect to such feedback, ideas, suggestions and/or proposals.
12. You hereby grant C-Ride a perpetual, irrevocable, transferable, fully-paid, royalty-free, non-exclusive right to use, copy, display, publish, remove, modify, publicly perform, translate, create derivative works from, distribute and/or otherwise use such feedback, ideas, suggestions and/or proposals.
13. To the extent that you are asked to rate and post reviews of Vendors, such ratings and reviews are considered User Content and are governed by these Terms of Use.
14. C-Ride shall not be liable for ratings and reviews or for any claims for economic loss resulting from such ratings and reviews.
15. Because we strive to maintain a high level of integrity with respect to ratings and reviews posted or otherwise available through the Platform:
    1. You will base any rating or review on genuine, first-hand experience with the Vendor or Contractor arising from an order placed or delivered through the Platform.
    2. You will not submit a rating or review in exchange for payments, free food items, or other benefits from a Vendor or Contractor.
    3. You will not provide a rating or review for any Vendor or Contractor in which you have an ownership interest, employment relationship or other affiliation, or for any of that Vendor’s or Contractor’s competitors.
    4. Your rating or review will comply with these Terms of Use. If we determine, in our sole discretion, that any rating or review could diminish the integrity of ratings and reviews or otherwise violate these Terms of Use, we may remove such User Content without notice.

7. Contractor’s Obligations

1. By providing the Services as a Contractor, you represent, warrant and agree that:
   1. you possess a valid driver’s licence and all required permissions and authorisations to provide the services, and you are medically fit to provide the services;
   2. you own, or have the legal right to operate, the vehicle you use to provide the services, and such vehicle is in good operating condition and meets the statutory and industry safety standards and requirements;
   3. you will only provide the services using the vehicle that has been reported to C-Ride;
   4. you will not permit anyone to accompany you in the vehicle while providing the services;
   5. you will not provide the services while under the influence of fatigue, alcohol or drugs, or otherwise engage in unsafe or illegal behaviour while providing the services;
   6. you will ensure that all foods and other packages remain safe, secure and in good condition at the start, during, and until they are delivered to the User;
   7. you will not request any additional payments in addition to the price stated and agreed on the Platform; and
   8. you will comply with our reasonable requests to provide information in connection with the services and your use of the Platform.

8. Contractors and Vendors Are Independent

1. You understand and agree that C-Ride provides the services to connect you with Vendors that provide the products offered through the Platform, and independent third-party Contractors who provide delivery of the products ordered.
2. Any delivery, pick-up or preparation times displayed through the Platform are purely estimates and do not represent a promise, commitment or guarantee by C-Ride.
3. You agree that C-Ride is not responsible for Vendors’ food preparation and product offerings, food or product handling, or the safety of the food or other products, or whether the photographs, images, videos, menu or product listings, catalogue, item descriptions, or other menu, product or catalogue information — including nutrition, ingredients and/or allergen information — displayed through the Platform accurately reflects the foods or products being sold by the Vendor and/or delivered by the Contractor.
4. You acknowledge and agree that menu, product or catalogue listings, descriptions, or other information including videos, photographs or images, or nutrition, ingredients and/or allergen information displayed through the Platform may not have been provided directly by the Vendor and/or may have been generated or enhanced with the assistance of artificial intelligence.
5. C-Ride Limited has no responsibility or liability for acts or omissions by any Vendor or Contractor.
6. You agree that neither C-Ride nor the Contractor holds title to or acquires any ownership interest in any food or products that you order through the Platform.
7. The content on the Platform regarding meals or other products is provided for general information only and is not intended to amount to advice on which you should rely. Although we make reasonable efforts to update the information on the Platform, C-Ride makes no representation, undertaking or guarantee, whether express or implied, that the content on the Platform is complete or up-to-date, and you acknowledge that any reliance on such information will be at your own risk.

9. Intellectual Property

1. C-Ride and the Vendors on the Platform own all intellectual property rights in the Platform and any materials published on it. These rights are protected under applicable intellectual property laws in Nigeria, and all such rights are reserved. You may only access and use the materials for personal use, and you may not otherwise reproduce, distribute, publicly display or modify them without a licence to do so from us.
2. C-Ride owns or is the licensor of all rights, titles and interests in and to the Platform, including all rights under patents, copyrights, design rights, trade secrets, and any and all other proprietary rights. Any disassembling, decryption, extraction, re-use, re-engineering, reverse engineering, copying, or more generally any act of reproduction, representation, transmission or use of any of these elements, in part or in whole, without our authorisation is strictly prohibited and may result in legal action being taken against you.
3. If you believe that the content on the Platform may have infringed on your intellectual property rights in any way or manner, kindly contact us at ServiceResolution@c-ride.co, and we will immediately take steps to address, stop or remedy such breach.
4. You agree and acknowledge that the words, terms and information used to describe any food or product listed on the Platform were provided to us by Vendors. C-Ride will not be liable for any inappropriate or inaccurate use of food or product names or information on the Platform. Kindly contact us at ServiceResolution@c-ride.co if you believe any food or product has been wrongly described, and we will immediately take steps to remedy the same.

10. Limitation of Liability

1. Nothing in these Terms of Use excludes or limits our liability for personal injury arising from our negligence or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by Nigerian law.
2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may otherwise apply to the Platform or any content on it, whether express or implied.
3. C-Ride assumes no responsibility for the content of any websites linked to the Platform. Such links should not be interpreted as endorsement by us of those linked websites. C-Ride will not be liable for any loss or damage that may arise from your use of them.
4. As a User, please note that we only provide the Platform for domestic and private use. You agree not to use the Platform for any commercial or business purposes without our prior written consent. C-Ride will not be liable to you for any loss of profit or loss of business opportunity where the Platform is used for such commercial or business purposes without proper consent.
5. To the extent permitted by law, C-Ride shall not be liable to you for any indirect, punitive, incidental, special or exemplary damages arising out of your use of, or inability to use, our Platform.
6. We are not liable for any damage that may be incurred by you due to unauthorised use of, tampering with, or access to your C-Ride account.
7. C-Ride is not liable, and you acknowledge and agree not to hold C-Ride liable, for any damage or loss resulting either directly or indirectly from:
   1. delays or disruption in our services or Platform;
   2. your use of, or inability to use or access, our services or Platform;
   3. a suspension, termination or other action taken with respect to your C-Ride account;
   4. any access to or use of our services or Platform in a manner that is inconsistent with these Terms of Use, or any error, inaccuracies, losses or omissions in or to any data provided to us; and
   5. any damage caused by a virus or other technologically harmful material that may infect your electronic devices due to the use of the Platform or any website linked to it.
8. C-Ride will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising in connection with use of, or inability to use, our Platform.

11. Indemnity

1. You agree to defend, indemnify and hold C-Ride harmless from any and all claims, demands, losses, liabilities and expenses (including reasonable attorney’s fees) arising out of or in connection with:
   1. your use or misuse of our services or our Platform; and
   2. your breach or violation of any of these Terms of Use, any applicable law or regulation, or the rights of any third party.
2. We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

12. Restricted Activities

1. Our Platform must be used only for lawful purposes. You must not, and must not allow another person to, use it for any purpose other than that for which we made it available.
2. As a User of our Platform, you must not use the Platform to:
   1. do anything illegal;
   2. do anything that violates these Terms of Use and C-Ride policies;
   3. use the Platform for any purpose not intended by these Terms of Use;
   4. transfer or sell your account, password or identification to any other party;
   5. solicit others to engage in illegal or dangerous activities;
   6. modify, adapt, decipher, disassemble or reverse engineer any of the software making up a part of the Platform;
   7. impersonate another person or disguise your identity, or use or attempt to use another user’s account;
   8. upload any content on the Platform which is inaccurate, inappropriate, infringes anyone’s rights (such as intellectual property, privacy or personal rights) or is otherwise illegal;
   9. extract any data or content from the Platform;
   10. engage in any fraudulent act, including the provision of false identification; or
   11. undermine the Platform’s operation or security, or attempt to gain unauthorised access to the Platform or its related systems or networks.

13. C-Ride Communications

1. By accessing and using the Platform, you consent to receiving electronic communications, operational notifications about your account or our services, updates about C-Ride and the Platform, requests for feedback, and marketing communications, and you agree that all notices, disclosures, updates and other communications we provide to you electronically through email, push notifications, SMS, phone, or displayed on the Platform satisfy any legal requirement for written communications.
2. You agree to the use of electronic signatures, contracts, orders and other records, and to the electronic delivery of records of transactions initiated or completed by you. You waive the rights or requirements of any law in any jurisdiction which requires an original signature, or delivery or retention of non-electronic records.

14. Personal Data

1. C-Ride Limited collects and processes Users’ personal data. Please refer to our Privacy Policy for details on how your data is processed and used by us.

15. Sanctions for Breaches

1. In the event of any fraud, breach of these Terms of Use, or violation of applicable laws and regulations, we reserve the right to take any appropriate measure, including:
   1. suspending or terminating access to all or part of the services of the User who committed the breach;
   2. alerting all relevant authorities; and
   3. taking legal action.

16. Severability

1. If any of these Terms of Use are determined by a competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions, which will remain valid and enforceable to the fullest extent permitted by Nigerian law.

18. Disclaimer

1. The services are provided “as is” and “as available”. C-Ride disclaims all representations and warranties, express, implied or statutory, not expressly set out in these Terms of Use. You understand and agree that, to the fullest extent of the law, your use of the Platform and services is entirely at your own risk. Changes are periodically made to the Platform and services and may be made at any time without notice to you. C-Ride makes no warranties or representations about the accuracy, reliability, completeness or timeliness of the content made available through the Platform or services.
2. C-Ride does not warrant that the Platform will operate error-free or that the Platform is free of computer viruses and other harmful malware. If your use of the Platform results in the need for servicing or replacing equipment or data, C-Ride will not be held liable for those economic costs.

19. Termination

1. These Terms of Use become effective from the date you start using the Platform and continue until they are terminated by either you (through the closing of your account) or us.

20. Governing Law

1. These Terms of Use are governed by Nigerian law. In the event of a dispute regarding the validity, interpretation and/or execution of these Terms of Use, the parties submit to the exclusive jurisdiction of the Nigerian courts.
